Language: English
1. Parties, product and scope
1.1 These terms govern the use of the website cuppaform.com, the waitlist, early access and — once available — the Cuppaform service (the “Service”): an AI form builder (SaaS tool) for creating, publishing and managing online forms and collecting responses.
| Field | Value |
|---|---|
| Provider (“we”, “Cuppaform”) | Cuppaform (trade name/brand) |
| Customer / user (“you”) | The person or organisation that joins the waitlist, takes part in early access, or uses the Service |
1.2 Cuppaform is aimed primarily at professional (B2B) use by teams and businesses. Where you act as a consumer, mandatory consumer law prevails over any conflicting clause. Formal legal-entity details are provided on request or on invoice; these terms are trade-name-first.
1.3 By joining the waitlist, accepting an early-access invitation or using the Service, you accept these terms. Our Privacy Policy explains how we handle personal data.
2. Waitlist, early access and future service
2.1 Waitlist. Joining the waitlist is free and without obligation. It does not give you a right to access, to a launch date, or to any specific features or prices. You can leave the waitlist at any time.
2.2 Early access. We may invite you to early access (for example a beta or preview version). Early access is provided free of charge unless we expressly agree otherwise in writing. It may be limited in time, functionality or capacity, may contain errors, and may be changed, suspended or ended by us at any time.
2.3 No guarantee of launch. We may change, postpone or cancel the launch of the Service or any feature.
2.4 Paid plans. No paid subscriptions are offered yet. If and when paid plans are introduced, the plan, price and billing period shown at the time of ordering will apply, together with any additional subscription terms we present to you before you order. Nothing becomes payable without your express order.
3. Account and access (once available)
3.1 You provide accurate information and keep your login details confidential. You are responsible for all activity under your account and for the users you invite.
3.2 We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during the period of access, under these terms.
3.3 You may not sublicense, rent out or resell the Service unless agreed in writing.
4. Fees and VAT
4.1 The waitlist and early access are free unless expressly agreed otherwise in writing.
4.2 For any future paid plans: all prices are exclusive of VAT unless expressly stated otherwise; these terms do not fix any price amounts. Payment and invoicing details will be set out at the time of ordering.
5. Term, suspension and termination
5.1 You may stop using the Service, leave the waitlist or end early access at any time via the contact page or, where available, in your account.
5.2 We may suspend or end your access (including early access) at any time, in particular in the event of a breach of these terms, unlawful use, fraud, a security risk, or when the early-access phase ends.
5.3 After access ends, you will — where reasonably possible — be given an opportunity to export your forms and responses, after which we may delete them, subject to the Privacy Policy, the DPA and legal retention duties.
6. Acceptable use
You may not (and may not allow others to) use Cuppaform to:
- Break the law or infringe the rights of others (including privacy, intellectual-property and consumer rights)
- Build forms for phishing, impersonation, fraud or deceptive purposes, or to collect passwords, login credentials or full payment card data
- Collect special categories of personal data, data about children, or other sensitive data unless you have a valid legal basis and appropriate safeguards
- Send unlawful spam or unsolicited communications
- Upload malware, disrupt or overload the Service, probe other customers’ environments, or scrape or reverse-engineer the Service except where mandatory law allows
- Circumvent security, usage limits or access restrictions
We may investigate, remove forms or content, and suspend access for serious or repeated breaches.
7. Customer data, respondent data and DPA
7.1 You retain ownership of the forms, content and responses you create or collect with the Service (“Customer Data”).
7.2 You grant us a limited licence to host, process and display Customer Data solely to provide the Service, prevent abuse and comply with the law.
7.3 For personal data of respondents collected through your forms, you are the controller and Cuppaform is processor. A data processing agreement (DPA / verwerkersovereenkomst) will be offered when the form builder launches.
7.4 You are responsible for your forms and their lawful use, including: a valid legal basis for collecting responses, informing respondents (for example with your own privacy notice), obtaining consents where required, the accuracy and lawfulness of questions and content, retention, and handling respondents’ requests.
7.5 You are responsible for keeping your own copies (exports/backups) of Customer Data that is important to you.
8. AI features and AI output
8.1 The Service uses artificial intelligence to generate forms, questions, texts and suggestions (“AI Output”) based on the descriptions and content you provide.
8.2 AI Output is generated automatically and may be inaccurate, incomplete, inappropriate or unsuitable for your purpose. It may not be unique, and similar output may be generated for others.
8.3 You must review and check all AI-generated forms and content before publishing or using them, including for legal compliance (such as privacy and consumer law), accessibility and accuracy. You remain responsible for everything you publish.
8.4 AI Output is not legal, privacy, HR, compliance or other professional advice.
8.5 Do not enter personal data or confidential information in prompts unless necessary and lawful on your side.
9. Availability and support
9.1 We aim for reliable availability but offer no formal SLA unless separately agreed in writing. The Service is provided “as available”.
9.2 Maintenance, incidents, changes, third-party outages and force majeure may cause downtime or loss of functionality. Support is provided via the contact page and/or in-product channels, without fixed response times unless agreed.
10. Intellectual property and feedback
10.1 The Cuppaform software, brand, designs, templates and documentation remain ours (or our licensors’). These terms do not transfer ownership.
10.2 If you give feedback or suggestions, we may use them freely to improve Cuppaform, without obligation to you.
11. Warranties and disclaimers
11.1 Cuppaform is a SaaS tool (helper tool) for building forms. It is provided “as is” / “as available” to the extent permitted by law.
11.2 To the extent mandatory law does not provide otherwise, we exclude warranties of uninterrupted or error-free operation, fitness for a particular purpose and the accuracy of AI Output.
11.3 You remain responsible for the accuracy of data you enter, the content and use of your forms, and compliance with the laws that apply to you.
12. Liability
12.1 Nothing in these terms excludes or limits liability that cannot be excluded or limited under Dutch mandatory law (such as intent or deliberate recklessness of our management), or mandatory consumer law.
12.2 Subject to 12.1, our total liability in any 12-month period is limited to the fees you paid us for the Service in those same 12 months. Where the Service is provided free of charge (including the waitlist and early access), we are not liable to the extent permitted by law.
12.3 To the extent permitted, we are not liable for: server downtime, interruptions or outages; use or non-use of the Service; errors in data entered by you, your users or respondents; loss of or damage to forms, responses or other Customer Data; AI Output and decisions taken on the basis of it; your forms and how you use them; and indirect or consequential damages (such as lost profit, lost data or business interruption).
12.4 Any claim must be reported to us in writing without undue delay after you discover it.
13. Indemnity
You indemnify us against third-party claims (including from respondents or authorities) arising from your forms, your Customer Data, or your use of the Service in breach of these terms or the law, to the extent permitted by law.
14. Confidentiality
Each party keeps the other’s non-public business information confidential and uses it only to perform these terms, unless disclosure is required by law.
15. Applicable law and disputes
15.1 These terms are governed by Dutch law, excluding conflict-of-law rules that would lead to another law.
15.2 Disputes: competent courts of the Netherlands, preferably Amsterdam, without prejudice to mandatory rules on jurisdiction for consumers.
16. General
16.1 If a provision is invalid, the remaining provisions stay in force.
16.2 You may not transfer your rights or obligations without our consent, except to a legal successor; we may transfer to an affiliate or legal successor.
16.3 These terms, any order or written arrangement and (once offered) the DPA form the entire agreement on the use of Cuppaform.
16.4 These terms are also available in other languages. In case of differences between language versions, the Dutch text prevails.
